As you may know, HF Financial Corp. (the “Company”) has entered into an Agreement and Plan of Merger with Great Western Bancorp., Inc. (“Great Western”), dated as of November __, 2015 (the “Merger Agreement”), under which Great Western, the parent of Great Western Bank (“GWB”), will acquire the Company. As part of the transaction, Home Federal Bank (the “Bank”) will merge with GWB. For purposes of this Letter Agreement (defined below) the term Bank shall include GWB and any successor thereof.
