THIS DEPOSIT AGREEMENT (this “Agreement”) is made as of this 13th day of October, 2022 by and between KBC Group NV, a limited liability company organized under the laws of the Kingdom of Belgium (naamloz vennootschap), having its registered office at Havenlaan 2, B-1080 Brussels, Belgium (the “Company” or the “Issuer”), and The Bank of New York Mellon, a New York banking corporation, in its capacity as CDI depositary (the “CDI Depositary”), transfer agent (the “Transfer Agent”), registrar (the “Registrar”) and custodian of the Notes (as defined below) and on behalf of the registered holder(s) of the Certificated Depositary Interests (the “Custodian”).
