COVENANTS (as supplemented and amended from time to time, this “Regulatory Agreement”) is made and entered into as of July 1, 2010, by and among the CITY OF SAN JOSE, CALIFORNIA, a municipal corporation and charter city organized and existing under its Charter and the laws of the State of California (together with any successor to its rights, duties and obligations, the “Issuer”), WELLS FARGO BANK, NATIONAL ASSOCIATION, a national banking association organized and existing under the laws of the United States of America, as trustee under the Indenture described below (together with any successor trustee under the said Indenture, the “Trustee”), and ORVIETO FAMILY APARTMENTS, L.P., a California limited partnership (together with any successor to its rights, duties and obligations hereunder and as owner of the Project identified herein, the “Borrower”).
