This Amended and Restated Change in Control Agreement (this “Agreement”) is dated as of (the “Effective Date”) and is entered into by and between (“Executive”) and Craftmade International, Inc., a Delaware corporation (the “Company,” which term includes, following a Change in Control, any successor in interest to the Company). This Agreement amends, restates, and supersedes in its entirety that certain Change in Control Agreement by and between Executive and the Company dated as of , 2010.
