Doral Financial Corporation, a Puerto Rico corporation (the “Company”), proposes to issue and sell to the several underwriters named in Schedule A hereto (the “Underwriters”), for whom you (the “Representatives”) are acting as representatives, an aggregate of $150,000,000 principal amount of Floating Rate Senior Notes Due July 20, 2007 (the “Securities”) of the Company. The Securities will be issued under an indenture, dated as of May 14, 1999, as amended (the “Indenture”), between the Company and Deutsche Bank Trust Company Americas (formerly known as Bankers Trust Company), as trustee. The respective principal amounts of the Securities to be purchased by each of the several Underwriters are set forth opposite their names on Schedule A hereto. The Securities are described in the Final Prospectus which is referred to below. To the extent there are no additional Underwriters listed on Schedule A other than you, the term Representatives as used herein shall mean you, as Underwriters, and
