Eversource Energy, a Massachusetts voluntary association (the “Company”) confirms its agreement with the several underwriters named on Schedule I hereto (the “Underwriters”) with respect to (i) the issuance and sale by the Company and the purchase by the Underwriters, acting severally and not jointly, of the respective number of the Company’s common shares, par value $5.00 per share (the “Common Shares”) set forth opposite its name under the heading “Number of Firm Shares to be Purchased” on Schedule I hereto (the “Firm Shares”), and (ii) the grant by the Company to the Underwriters, acting severally and not jointly, of the option (the “Option”) described in Section 2 hereof to purchase from time to time all or any part of an additional 900,000 shares of Common Shares (the “Option Shares”) (in the case of clauses (i) and (ii) above, subject to certain conditions set forth herein). The Firm Shares and the Option Shares are referred to herein collectively as the “Shares.”

Northeast Utilities, a Massachusetts voluntary association (the “Company”), proposes to sell an aggregate of 16,500,000 shares (the “Firm Shares”) of the Company’s common shares, par value $5 per share (the “Common Shares”) to the underwriters (the “Underwriters”) named in Schedule I attached to this agreement (this “Agreement”). In addition, the Company proposes to grant an option to the Underwriters to purchase up to an aggregate of 2,475,000 shares of the Common Shares (the “Option Shares”) on the terms set forth in Section 2 hereof. The Firm Shares and the Option Shares, if purchased, are hereinafter collectively called the “Shares.” This is to confirm the agreement concerning the purchase of the Shares from the Company by the Underwriters.
