This COST REIMBURSEMENT AGREEMENT (the “Agreement”), is made and entered into as of October 1, 2013 (the “Effective Date”), by and between NEW YORK STATE ELECTRIC & GAS CORPORATION, a utility organized and existing under the laws of NEW York State, having an office and place of business at 18 Link Dr., Binghamton New York 13902 (“Customer” or “NYSEG”) and NIAGARA MOHAWK POWER CORPORATION d/b/a National Grid, a corporation organized and existing under the laws of the State of New York, having an office and place of business at 300 Erie Boulevard West, Syracuse, New York 13202 (the “Company” or “National Grid”). Customer and Company may be referred to hereunder, individually, as a “Party” or, collectively, as the “Parties”.
