THIS ESCROW AGREEMENT (this “Escrow Agreement”), dated as of October 1, 2020, between the Harris County-Houston Sports Authority (hereinafter together with any successor herein authorized referred to as the “Issuer”), a political subdivision of the State of Texas, and UMB Bank, National Association, as trustee and paying agent under that certain Fourth Amended and Restated Indentue of Trust, amended and restated as of December 1, 2014 (the “Indenture”), and acting herein as Escrow Agent (hereinafter together with any successor to its duties hereinunder referred to as the “Escrow Agent”), a national banking association organized and existing under the laws of the United States of America;
