THIS ASSET PURCHASE AGREEMENT (this “Agreement”), dated as of May 6, 2019, is by and between LARRY D. SIMONS, not individually, but solely as chapter 7 trustee (“Trustee” or “Seller”) of the BANKRUPTCY ESTATE (the “Estate”) of debtor YES DEPOT, INC. (“Debtor”) and OAK POINT PARTNERS, LLC (“Purchaser,” collectively with Trustee or Seller, the “Parties”).
