This 5Essentials® agreement (“Agreement”) is between UChicago Impact LLC, an Illinois not-for-profit corporation (“UChicago Impact”), and the client (“Client”) set forth in the Schedule A (Sales Order) or SOW, as applicable, between NWEA and Client (“Schedule A”) and is effective as of the Effective Date set forth in Schedule A. Each of UChicago Impact and Client may be referred to hereunder separately as a “Party” or together as the “Parties”. This Agreement is incorporated by reference into the Schedule A.
