This Promissory Note (this “Note”) is executed pursuant to, and is the “Note” described in, the Loan Agreement of even date herewith among Borrowers and Lender (as it may be amended, supplemented or restated from time to time, the “Loan Agreement”). Payment of this Note is governed by the Loan Agreement, the terms of which are incorporated herein by express reference as if fully set forth herein. Capitalized terms used but not defined in this Note have the meanings assigned to them in the Loan Agreement.
