THIS PURCHASE AGREEMENT, dated as of January 20, 2011 (this “Agreement”), is entered into by and among Perrigo Company, a Michigan corporation (“Purchaser”), Paddock Laboratories, Inc., a Minnesota corporation (the “Company”), Paddock Properties Limited Partnership, a Minnesota limited partnership (“Paddock Properties” and, with the Company, each a “Seller” and together the “Sellers”), and, solely for purposes of Section 11.15, each of the Persons set forth on Exhibit A (the “Guarantors”).
