This Memorandum of Agreement (“MOA”), including and incorporating the following pages attached hereto, is made this 16th day of September, 2016, by and between YP Holdings, LLC (”Employer” or “Company”) and Communication Workers of America District 4 (“Union”). The parties have met and engaged in good faith bargaining for the purpose of arriving at a successor collective bargaining agreement to the agreement that expired on August 13, 2016. The Union and Employer collectively have reached agreement and the predecessor agreement shall only be revised as specifically set forth herein. The Union and its bargaining committee shall present this MOA to the bargaining unit with their full recommendation of ratification by, and the Company shall present this agreement with recommendation of approval by its Board of Directors.

The Union and the Employer are parties to a collective bargaining agreement (“Agreement”) which became effective on August 15, 2010 and which is set to expire on August 10, 2013. The parties have met and engaged in bargaining for the purpose of arriving at a new collective bargaining agreement and have bargained in good faith over the terms of said Agreement. The Union and the Employer are parties to a collective bargaining agreement (“Agreement”) which became effective on August 15, 2010 and which is set to expire on August 10, 2013. The parties have met and engaged in bargaining for the purpose of arriving at a new collective bargaining agreement and have bargained in good faith over the terms of said Agreement. The Union’s and Employer’s negotiating committees have agreed to the below terms, and shall fully recommend them for ratification by the bargaining unit, and approval by the Company’s Board of Directors, respectively.
