This Second Amended and Restated Employment Agreement (“Agreement”) dated this 24th day of May, 2012 between Choice Hotels International, Inc. Joyce (“Employee”), sets forth the terms and conditions governing the employment relationship between Employee and Employer, and replaces the First Amended and Restated Employment Agreement between the parties dated April 30th, 2008, as amended on September 16, 2010 (the “First Amended Employment Agreement”).
