X.X. XXXXXX SERIES TRUST II
This Amendment No. 1 is incorporated in and made a part of the Participation Agreement made and entered into as of the 1st day of April, 2004, by and among TRANSAMERICA FINANCIAL LIFE INSURANCE COMPANY, (hereinafter the “Insurance Company”), a New York corporation, on its own behalf and on behalf of each segregated asset account of the Insurance Company set forth on Schedule 1 hereto as may be amended from time to time (each such account hereinafter referred to as the “Account”) and X.X. XXXXXX SERIES TRUST II, a business trust organized under the laws of Delaware (hereinafter the “Fund”). The Agreement is amended as follows:
| 1. | Schedule 1 of the Agreement is hereby deleted in its entirety and replaced with the Schedule 1 attached hereto. |
All other terms and provisions of the Agreement not amended herein shall remain in full force and effect.
