THIS GUARANTY AGREEMENT (this “Guaranty”) is made as of September 20, 2016, by MOODY NATIONAL REIT II, INC., a Maryland corporation, having an address at 6363 Woodway, Suite 110, Houston, Texas 77057 (“Guarantor”) in favor of KeyBank National Association, a national banking association, having an address at 11501 Outlook, Suite 300, Overland Park, Kansas 66211, (together with its successors and assigns, “Lender”).

THIS GUARANTY dated as of September 27, 2017, executed and delivered by each of the undersigned, whether one or more, (collectively, the “Guarantor”), in favor of (a) KeyBank National Association, a national banking association, in its capacity as agent (the “Agent”), for the Lenders under that certain Term Loan Agreement dated as of even date herewith, by and among MOODY NATIONAL OPERATING PARTNERSHIP II, LP, a Delaware limited partnership (the “Borrower”), the financial institutions party thereto and their assignees in accordance therewith (the “Lenders”), and the Agent (as the same may be amended, restated, supplemented or otherwise modified from time to time in accordance with its terms, the “Loan Agreement”), and (b) the Lenders. Capitalized terms used herein and not otherwise defined herein shall have the meanings set forth in the Loan Agreement.
