Common use of Year 2000 Clause in Contracts

Year 2000. All of the material computer software, computer firmware, computer hardware (whether general or special purpose), and other similar or related items of automated, computerized, and/or software systems that are used or relied on by the Companies in the conduct of their respective businesses will not malfunction, will not cease to function, will not generate incorrect data, and will not produce incorrect results when processing, providing, and/or receiving (a) date-related data into and between the twentieth and twenty-first centuries and (b) date-related data in connection with any valid date in the twentieth and twenty-first centuries.

Year 2000. All To the Knowledge of the material Company, none of the computer software, computer firmware, computer hardware (whether general or special purpose), and ) or other similar or related items of automated, computerized, and/or computerized or software systems that are used or relied on by the Companies Company or by any of the Subsidiaries in the conduct of their respective businesses will not malfunction, will not cease to function, will not generate incorrect data, and will not data or produce incorrect results having a Material Adverse Effect when processing, providing, and/or providing or receiving (ai) date-related data from, into and between the twentieth and twenty-first centuries and or (bii) datedata-related data in connection with any valid date in the twentieth and twenty-first centuries.

(a) All of the material computer softwareComputer Programs (as hereinafter defined), computer firmware, computer hardware (whether general or special purpose), ) and other similar or related items of automated, computerized, computerized and/or software systems system(s) that are used or relied on by the Companies Company or by any of its subsidiaries in the conduct of their respective businesses will not malfunction, will not cease to function, will not generate incorrect data, and will not produce provide incorrect results when processing, providing, and/or receiving (ai) date-related data into and between the twentieth and twenty-first centuries and (bii) date-related data in connection with any valid date in the twentieth and twenty-first centuries.

All To the Knowledge of the material Company, all of the Material computer software, computer firmware, computer hardware (whether general or special purpose), and other similar or related items of automated, computerized, and/or software systems system(s) that are used or relied on by the Companies Company in the conduct of their respective businesses its business will not malfunction, will not cease to function, will not generate incorrect data, and will not produce incorrect results when processing, providing, and/or receiving (ai) date-related data into and between the twentieth and twenty-first centuries and (bii) date-related data in connection with any valid date in the twentieth and twenty-first centuries, except for any malfunctions or generations of incorrect data or results that would not individually or in the aggregate have a Material Adverse Effect.

All None of the material computer software, computer firmware, computer hardware (whether general or special purpose), and other similar or related items of automated, computerized, and/or software systems system(s) that are used or relied on by the Companies Seller or any Single Purpose Entity in connection with the conduct operation of their respective businesses any Facility will not malfunction, will not cease to function, will not generate incorrect data, and will not or produce incorrect results when processing, providing, and/or receiving (ai) date-related data into and between the twentieth and twenty-first centuries and (bii) date-related data in connection with any valid date in the twentieth and twenty-first centuries.

All of the material computer software, computer firmware, computer hardware (whether general or special purpose), and other similar or related items of automated, computerized, and/or software systems system(s) that are used or relied on by the Companies each of AMNI and each of its subsidiaries in the conduct operation of their respective businesses its business will not malfunction, will not cease to function, will not generate incorrect data, and will not produce incorrect results when processing, providing, and/or receiving (a) date-related data into and between the twentieth and twenty-first centuries and (b) date-related data in connection with any valid date in the twentieth and twenty-first centuries.

All of the material computer software, computer firmware, computer hardware (whether general or special purpose), and other similar or related items of automated, computerized, and/or software systems that are used or relied on by the Companies in the conduct of their respective businesses will not materially malfunction, will not cease to function, will not generate materially incorrect data, and will not produce materially incorrect results when processing, providing, and/or receiving (a) date-related data into and between the twentieth and twenty-first centuries and (b) date-related data in connection with any valid date in the twentieth and twenty-first centuries.
