XXXX warrants that: (i) it has sufficient right and authority to enter into this Agreement and to grant to Vendor the rights granted under this Agreement; and (ii) to the best of XXXX’x knowledge, the Data Set, as delivered to Vendor by XXXX, does not infringe the intellectual property rights of any other party.
