IL is a corporation duly incorporated, validly existing and in good standing under the laws of the State of Illinois, has the corporate power and authority to execute and perform the Subsidiary Security Agreement and the Subsidiary Senior Subordinated Guaranty Agreement and is duly qualified and is in good standing in each jurisdiction in which, to our knowledge, the character of the properties owned or leased by it or the nature of the business transacted by it makes such qualification necessary.
