Without prejudice to Subsection Sample Clauses

Without prejudice to Subsection. 9.3.4, the total indemnification that may be due by the Vendor to the Purchaser pursuant to Section 9 shall not in the aggregate exceed EUR three million (3,000,000) (the Cap). For the avoidance of doubt, this Subsection 9.3.3 is applicable to the Vendor only and not to any other indemnifying party, including without limitation, any of the insurers under the Insurance Policy. The total aggregate liability of the Vendor under this Section 9 and under the coverage of the deductible pursuant to the Insurance Policy shall not exceed an aggregate amount of EUR three million (3,000,000). Therefore (i) the Cap shall be automatically reduced by the aggregate amount that may be due by the Vendor to cover any deductible under the Insurance Policy, and (ii) the deductible to be covered by the Vendor under the Insurance Policy shall be reduced by any amount paid under this Section 9.
