Without limiting clause 6. 3.2.3, the Reseller shall (or shall procure that appropriately qualified third parties shall), put in place and shall comply at all times with (and shall procure that the Users shall comply with the following security measures): • Ensuring passwords used to access any part of the Services or the Supplier Network shall include letters, numbers and symbols; • Ensuring such passwords are changed on a frequent (at least monthly basis); • Ensure that only authorised personnel with a need to know any user names, passwords and similar access information are given such information; • Ensure that the Reseller and each User follows any other reasonable security instructions or directions from the Supplier.
Without limiting clause 6. 2, C4X shall promptly after the Effective Date, support the transfer of such Manufacturing activities to Company or Company's designee.
Without limiting clause 6. 6, if a Party has not complied with its obligations under Clause 6.3, the Purchaser (in the case of non-compliance by the Seller) or the Seller (in the case of non-compliance by the Purchaser) may by giving written notice to the Seller or the Purchaser (as appropriate):
Without limiting clause 6. 4.1, each of Purchaser and Seller shall, and shall cause its Affiliates to, (a) take commercially reasonable actions necessary to comply promptly with all legal requirements or the requirements of any works council or union which may be imposed on it and to notify the Social Economic Council (Sociaal-Economische Raad) with respect to the consummation of the Transaction, (b) promptly cooperate with and furnish documents or information to any Party necessary in connection with any such requirements imposed upon such other Party in connection with the consummation of the Transaction, (c) take commercially reasonable actions necessary to obtain (and shall cooperate with the other parties hereto in obtaining) any Permit from, or any registration, declaration or filing with, any Governmental Entity or works council, required to be obtained or made in connection with the taking of any action contemplated by this Agreement and (d) use commercially reasonable efforts to obtain as promptly as practicable any Permits required by Law or otherwise for Purchaser and/or one or more of its designated Affiliates to conduct the Operations following the Closing and to own the Operation Assets.

Without limiting clause 6. 9.1, the Commonwealth and Medicines Australia agree that the Commonwealth will engage an independent entity to undertake a review during 2022 of the PBS activity based cost model to assess the appropriateness of the list of cost recovered activities in the administration of the PBS and the cost allocations to them having regard to the Australian Government Charging Framework and Australian Government Cost Recovery Guidelines.
