Without limitation to Section. 8.1.1, each Receiving Party shall bind all persons having access through it to any Confidential Information of the Disclosing Party to written obligations of confidentiality and non-use at least as protective of the Confidential Information of the Disclosing Party as those contained herein. Each Receiving Party will be responsible for the acts and omissions of any officer or employee of such Receiving Party, Affiliate of such Receiving Party or other third party receiving the Confidential Information from such Receiving Party with respect to such confidentiality and non-use obligations.
Without limitation to Section. 13.6, during the Wind-Down Period, BI shall continue to provide Microsoft with Enhancements in accordance with Section 2.3.1, the Rules and Rule Updates in accordance with Section 3 and support services in accordance with Section 6 hereof.
Without limitation to Section. 9.1.3, the General Partner may terminate the interest of any Limited Partner in the Partnership at any time upon at least five days’ prior written notice, for any reason; provided that, in the case of any termination pursuant to this Section 9.1.4, the Partnership shall use commercially reasonable efforts to transfer to the withdrawing Limited Partner its pro rata portion of the Partnership’s interest in the Underlying Funds and any other Portfolio Investments, and the termination shall be conditioned upon obtaining the approval of the applicable general partner (or comparable entity) of each Underlying Fund to such transfer and to the admission of the withdrawing Limited Partner as a substitute investor of the applicable Underlying Fund.
