Common use of Withdrawal and Resignation of Members Clause in Contracts

Withdrawal and Resignation of Members. No Member shall have the power or right to withdraw or otherwise resign as a Member from the Company prior to the termination of the Company pursuant to Article XIV. Upon a Transfer of all of a Member’s Units in a Transfer permitted by this Agreement, subject to the provisions of Section 10.06, such Member shall cease to be a Member.

Withdrawal and Resignation of Members. No Member shall have the power or right to withdraw or otherwise resign as a Member from the Company prior to the termination dissolution and winding up of the Company pursuant to Article XIV. Upon a Transfer XII, except (a) with the prior written consent of all of a Member’s Units in a Transfer permitted by this Agreementthe Board, subject to the provisions of Section 10.06, such Member shall cease to be a Member.or

Withdrawal and Resignation of Members. No Member shall have the power or right to withdraw or otherwise resign as a Member from the Company prior to the termination dissolution and winding up of the Company pursuant to Article XIV15. Upon a Transfer of all of a Member’s Units Membership Interest in a Transfer permitted by this Agreement, subject to the provisions of Section 10.068.03, such Member shall cease to be a Member.

No Member shall have the power or right to withdraw or otherwise resign as a Member from the Company prior to the termination dissolution and winding up of the Company pursuant to Article ARTICLE XIV. Upon a Transfer of all of a Member’s Units in a Transfer permitted by this Agreement, subject to the provisions of Section 10.06, such Member shall cease to be a Member.Member.‌

No Member shall have the power or right to withdraw or otherwise resign as a Member from of the Company prior to the termination dissolution and winding up of the Company pursuant to Article XIV12 without the prior written consent of the Board, except as otherwise expressly permitted by this Agreement. Upon a Transfer of all of a Member’s Units in a Transfer permitted by this Agreement, subject to the provisions of Section 10.06Article 9, such Member shall cease to be a Member.

No Member shall have the power or right to withdraw or otherwise resign as a Member from the Company prior to the termination dissolution and winding up of the Company pursuant to Article XIV15. Upon a Transfer of all of a Member’s Units 's Membership Interest in a Transfer permitted by this Agreement, subject to the provisions of Section 10.068.03, such Member shall cease to be a Member.

Withdrawal and Resignation of Members. (a) No Member shall have the power or right to withdraw or otherwise resign as a Member from the Company prior to the termination dissolution of the Company pursuant to Article XIVXI except as otherwise expressly permitted by this Agreement or any of the other agreements contemplated hereby. Upon a Transfer of all of a Member’s Units in a Transfer permitted by in accordance with the terms of this Agreement, subject Agreement and any other agreement to the provisions of Section 10.06which such Member is a party, such transferring Member shall cease to be a Member.

Withdrawal and Resignation of Members. (a) No Member shall have the power or right to withdraw or otherwise resign as a Member from the Company prior to the termination dissolution of the Company pursuant to Article XIVXI except as otherwise expressly permitted by this Agreement or any of the other agreements contemplated hereby. Upon (i) a Transfer transfer of all of a Member’s 's Units in a Transfer permitted by this Agreement, subject Agreement and (ii) the admission of such Transferee as a Member pursuant to the provisions of Section 10.065.1(b), such transferring Member shall cease to be a Member.
