Whenever SUBLESSOR Sample Clauses

Whenever SUBLESSOR. S consent is necessary to any act of SUBLESSEE under this SUBLEASE, it is understood and agreed that SUBLESSOR shall not be deemed to be unreasonable in withholding such consent if (i) the OVERLANDLORD'S consent to such act is also required under the PRIME LEASE and (ii) OVERLANDLORD fails to give its consent.
