Well-Known Seasoned Issuer Status. At the time the Registration Statement was filed with the Commission and as of the most recent amendment to the Registration Statement for purposes of complying with Section 10(a)(3) of the 1933 Act (whether such amendment was by post-effective amendment, incorporated report filed pursuant to Section 13 or 15(d) of the 1934 Act or form of prospectus), each of PHI and, solely for purposes of its eligibility to use the Registration Statement for the registration of the offer and sale of the Securities under the 1933 Act, the Company, was a “well-known seasoned issuer” as defined in Rule 405 of the 1933 Act Regulations.
