Common use of Warranties or Representations Clause in Contracts

Warranties or Representations. If any statement or representation made by or on behalf of Borrower or Guarantor in this Agreement, in any of the other Loan Documents, or in any document, instrument, certificate, opinion, or other item furnished pursuant to the Loan Documents, is false, misleading, or incorrect in any material respect as of the date made or reaffirmed; provided, however, that no Event of Default shall exist hereunder if such false, misleading, or incorrect statement or representation was made by or on behalf of Borrower or Guarantor in good faith reliance following diligent inquiry upon a document, instrument, certificate, opinion, or other item furnished to Borrower or Guarantor by or on behalf of an Applicable Underlying Borrower or an Applicable Underlying Guarantor.
