Common use of Warrantholder Not Deemed a Stockholder Clause in Contracts

Warrantholder Not Deemed a Stockholder. Nothing contained in this Agreement or in any of the Warrant Certificates shall be construed as conferring upon the holders thereof the right to vote or to receive dividends or to consent or to receive notice as stockholders in respect of the meetings of stockholders or for the election of directors of the Company or any other matter, or any rights whatsoever as stockholders of the Company.

Warrantholder Not Deemed a Stockholder. Nothing contained in this Agreement or in any Prior to the exercise of the Warrants represented thereby no holder of a Warrant Certificates Certificate, as such, shall be construed as conferring upon entitled to any rights of a stockholder of the holders thereof Company, including, but not limited to, the right to vote or vote, to receive dividends or other distributions, to consent or exercise any preemptive right or, except as otherwise expressly provided herein, to receive notice as stockholders in respect of the meetings of stockholders or for the election of directors of the Company or any other matter, or any rights whatsoever as stockholders of the Company.
