Common use of Warrant Price Adjustment Clause in Contracts

Warrant Price Adjustment. Whenever the number of shares of Common Stock issuable upon exercise of each Warrant is adjusted, as herein provided, the Warrant Price payable upon the exercise of each Warrant shall be adjusted to that price determined by multiplying the Warrant Price immediately prior to such adjustment by a fraction (i) the numerator of which shall be the number of shares of Common Stock purchasable upon exercise of each Warrant immediately prior to such adjustment, and (ii) the denominator of which shall be the number of shares of Common Stock purchasable upon exercise of each Warrant immediately thereafter.

Whenever the number of shares of Common Stock issuable into which a Warrant is exercisable is adjusted as provided in Sections 4.01(a), (b) or (d), the Exercise Price payable upon exercise of each Warrant is adjusted, as herein provided, the Warrant Price payable upon the exercise of each Warrant shall simultaneously be adjusted to that price determined by multiplying the Warrant such Exercise Price immediately prior to such adjustment by a fraction (i) fraction, the numerator of which shall be the number of shares of Common Stock purchasable upon exercise of each into which such Warrant was exercisable immediately prior to such adjustment, and (ii) the denominator of which shall be the number of shares of Common Stock purchasable upon exercise of each into which such Warrant was exercisable immediately thereafter.
