Common use of WARN Act Compliance Clause in Contracts

WARN Act Compliance. Following the Closing Date, Buyer shall comply in all respects with the Worker's Adjustment and Retraining Notification Act, as amended (the "WARN Act"), and shall not take any action which would subject Seller to any disclosure or announcement obligations under the WARN Act with respect to employees of Seller or the Subsidiaries. As of the date hereof, Buyer does not contemplate any "plant closing" or "employee mass layoff," as such terms are used in the WARN Act, with respect to the Business or the Transferred Employees on or before 91 days following Closing.
