Common use of Waivers Clause in Contracts

Waivers. No waiver by either party of any default with respect to any provision, condition or requirement of this Agreement shall be deemed to be a continuing waiver in the future or a waiver of any other provisions, condition or requirement hereof, nor shall any delay or omission of any party to exercise any right hereunder in any manner impair the exercise of any such right accruing to it thereafter.

Waivers. No waiver by either any party of any default with respect to any provision, condition or requirement of this Agreement shall be deemed to be a continuing waiver in the future or a waiver of any other provisionsprovision, condition or requirement hereof, nor shall any delay or omission of any party to exercise any right hereunder in any manner impair the exercise of any such right accruing to it thereafter.

The representations and warranties and the agreements and covenants of the Company and the Purchaser contained herein shall survive the Closing.

The representations and warranties and the agreements and covenants of the Company and each Buyer contained herein shall survive the Closing.

The representations and warranties and the agreements and covenants of the Company and the Buyer contained herein shall survive the registration and sale of the Registrable Securities.

Waivers. No waiver by either any party of any default with respect to any provision, condition or requirement of this Agreement shall be deemed to be a continuing waiver in the future or a waiver of any other provisionsprovision, condition or requirement hereofof this Agreement, nor shall any delay or omission of any party to exercise any right hereunder under this Agreement in any manner impair the exercise of any such right accruing to it thereafterafter such waiver.

This provision constitutes a separate right granted to the Purchaser by the Company and DSR.
