Waiver of Opinion of Counsel in respect of Guarantor. Strategic Restaurant Enterprises, Inc., a Texas corporation, is becoming a Guarantor contemporaneously with the effectiveness of this Amendment. Notwithstanding anything to the contrary set forth in the Guaranty, the Lenders and the Administrative Agent agree that no opinion of counsel shall be required as a condition thereto or in connection therewith.
