Waiver of Claims Against Seller. Each Seller Equityholder irrevocably waives and agrees that Seller Equityholders will make no claim against Seller of any kind or character, whether by way of subrogation, indemnity, contribution, breach of contract, or any other theory regarding any claim made by Buyer, Seller, or any other person under Section 10 or otherwise, and each Seller Equityholder irrevocably releases and discharges Seller from any such claim.
