Waiver of Board Meeting Notice. At any time before, during, or after a Board Meeting, a Director may waive notice of a Board Meeting by delivering to the Cooperative a written or Electronic waiver of notice signed by the Director and later filed with the Board Meeting minutes or the Cooperative’s records. A Director’s attendance at, or participation in, a Board Meeting waives notice of the Board Meeting and any matter considered at the Board Meeting, unless the Director: (1) at the beginning of the Board Meeting, objects to holding or transacting business at the Board Meeting because the meeting is not lawfully called or convenes; and (2) does not participate thereafter in the meeting.
