Wafer Pricing. 3.1 For the supply of Wafers under this Agreement ▇▇▇▇▇▇▇ Solar shall pay the initial prices in USD as specified in Appendix B. Fob Shanghai, P.R. China as per the Incoterms 2000.
3.2 All taxes, fees and other charges including the cost of any certificate of origin imposed on or required for the Wafers and sale thereof before delivery shall be the responsibility of Supplier and for Supplier's account.
3.3 Supplier is committed to supply cost-effective Wafers (in line with global market prices and conditions for similar Wafers).
Wafer Pricing. In consideration for the license grants under Section 5.2(b), MTI shall pay royalties identified in Section 5.4(c) and manufacture the Accepted Type III products for NetLogic pursuant to the terms of the Supply Agreement. The price for each fully processed wafer of such Accepted Type III Product manufactured by MTI and purchased by NetLogic shall be as identified in Exhibit E.
Wafer Pricing. The price for Wafers ordered and accepted by WJ and delivered by GCS in accordance with this Agreement shall be as set forth in Appendix C.

For clarification purpose, the wafer price above does not include the wafer sorting cost. Spansion may request that SMIC provides wafer sorting service in which case Spansion will assist SMIC to convert the sorting program onto SMIC’s existing testing platform for such sorting service and the parties would negotiate acceptable prices. The Contract Wafer price for Follow-on Charge Trapping Technologies [*******] will be defined by [*******]. In the event that agreement on the Contract Wafer price is not achieved by that time, Spansion may terminate its Minimum Loading Commitment and SMIC may terminate its Supply Commitment.
