Voting Rights Generally. Except as otherwise provided by the Act or this Agreement, including, without limitation, Section 5.6, Section 5.9, and Section 6.1, the Members shall not participate in any way in the control or management of the business of the Company. The Members are not agents of the Company and do not have the authority to act for, or bind, the Company in any matter. Written consent signed by a Majority in Interest of the Members (or such other percent as may be required under the Act or this Agreement) shall be deemed effective as the vote or consent of the Members when the vote or consent of the Members is required under this Agreement.
