Voting Representatives. The term “Voting Representatives” means the representatives on the EC eligible to vote on actionable business and affairs of the Agency. The Voting Representatives on the EC shall include elected official representatives from the Filename: GSA MOA Atascadero Basin (FINAL 170406) Page 3 following three large water systems (defined as a water system having more than 2,500 active water service connections): the Atascadero Mutual Water Company, the City of Paso ▇▇▇▇▇▇, and the Templeton Community Services District. The Voting Representatives on the EC shall also include a representative from each of the following: the City of Atascadero, the County of San ▇▇▇▇ Obispo, and the other small water system entities who are signatories to this Agreement. The Forming Parties and Participating Parties shall nominate or appoint Voting Representatives to the EC in accordance with all legal requirements promptly and without delay. All individual representatives serving on the EC, including alternate representatives, shall annually file a statement of Economic Interests with the office of the County of San ▇▇▇▇ Obispo’s Clerk-Recorder.
Voting Representatives. Each Member who is not an individual shall designate in writing an authorized voting representative to cast such Member’s vote and may also designate one or more alternate authorized voting representatives. Any of such alternate authorized voting representatives may cast such Member’s vote in the absence of the authorized voting representative. A Member may designate a new authorized voting representative or new alternate authorized voting representatives by written notice to the other Members.
Voting Representatives. The voting representative of the operating charter school authorizer shall be the director of the authorizing office, unless another individual is designated by the director of the authorizing office.
Voting Representatives. No Voting Representative shall have any liability to any Holder relating to such Voting Representative’s acts or omissions in such capacity, except for liabilities found by a final judgment of a court of competent jurisdiction (not subject to further appeal) to have resulted solely from the willful misconduct of such Voting Representative. By Majority Approval of the Holders included in a Designated Holder Group, the Voting Representative of such Designated Holder Group may be removed and replaced by a successor Voting Representative; provided however, that no change in a Voting Representative shall be effective as against the Company or any Holder or other Voting Representative until the Company and all other Voting Representatives have received written notice thereof, including the name of the successor Voting Representative and its address for purpose of notice under Section 21.6. The Company shall not be responsible for any expenses incurred by any Voting Representative or any Holder included in a Designated Holder Group in connection with the solicitation of any vote, consent or approval by Holders included in a Designated Holder Group.
Voting Representatives. The Operating Committee shall include one Voting Representative designated by each SRO Group and each Non-Affiliated SRO to vote on behalf of such SRO Group or such Non-Affiliated SRO. Each SRO Group and each Non-Affiliated SRO may designate an alternate individual or individuals who shall be authorized to vote on behalf of such SRO Group or such Non-Affiliated SRO, respectively, in the absence of the designated Voting Representative.
Voting Representatives. (a) not more than 15 Industry Party Representatives appointed in accordance with paragraph 6.1; and
(b) not more than 3 Consumer Party Representatives appointed in accordance with paragraph 6.3.

No individual shall be eligible to vote on the Technical Advisory Committee until the municipality, office, department, division, association, system, authority or board such member represents certifies in writing to the TPO Executive Director such individual is authorized to vote as the representative of the certifying entity, and the SCTPO has appointed said individual to the Technical Advisory Committee.
