Voting Power - Corporation Sample Clauses

Voting Power - Corporation. Holdco shall at all times use its voting powers (whether expressed by way of vote or written consent) in accordance with the provisions of this Agreement for the purposes of giving effect to the same and to ensure that the Corporation Directors shall exercise their powers as members of the Corporation Board consistent with this Agreement and for the purposes of effectuating the same. The Board shall ensure that the officers and employees of the Corporation shall carry out all duties which they are required to perform under the provisions of this Agreement.
