Common use of Voting Certificates and Block Voting Instructions Clause in Contracts

Voting Certificates and Block Voting Instructions. In the event of a meeting of the Noteholders the Principal Paying Agent shall, at the request of any Noteholder in accordance with the Master Issuer Trust Deed, issue voting certificates and block voting instructions in a form and manner which comply with the provisions of Schedule 4 to the Master Issuer Trust Deed (except that it shall not be required to issue the same less than forty-eight hours before the time for which the meeting or the poll to which the same relates has been convened or called). The Principal Paying Agent shall keep a full record of voting certificates and block voting instructions issued by it and will give to the Master Issuer, not less than one Business Day before the time appointed for any meeting or adjourned meeting, full particulars of all voting certificates and block voting instructions issued by it in respect of such meeting or adjourned meeting.

The Principal Paying Agent Registrar shall keep a full record of voting certificates and block voting instructions and forms of proxy issued by it and will give to the Master Issuer, not less than one Business Day before the time appointed for any meeting or adjourned meeting, full particulars of all voting certificates and block voting instructions and forms of proxy issued by it in respect of such meeting or adjourned meeting.
