Common use of Voting by Noteholders Clause in Contracts

Voting by Noteholders. (a) The Variable Funding Notes shall be deemed to be fully drawn for all voting purposes under this Base Indenture. Notes held by the Issuer or any of its Affiliates shall be deemed not to be Outstanding in determining any voting rights. (b) Except as otherwise provided herein or in any Series Supplement, all resolutions of Noteholders shall be passed by a Majority of Noteholders. Book-Entry Notes shall be voted by the Depositary on behalf of the Beneficial Owners thereof in accordance with written instructions received in accordance with applicable DTC procedures.
