The Voluntary Changes clause allows one or both parties to initiate modifications to the terms, scope, or deliverables of an agreement by mutual consent. Typically, this process requires a written request for change, followed by negotiation and formal approval from both sides before any adjustments take effect. This clause ensures that any alterations to the original contract are managed transparently and with agreement, preventing misunderstandings and disputes over unauthorized changes.
Voluntary Changes. Changes of work days and days off will be considered voluntary 17 if they occur at the employee’s request or as a result of shift bidding. The requesting Party shall provide the other Party with a detailed written report of all proposed changes to the Manufacturing process, the Manufacturing equipment, the Specifications, the Materials, the sources of Materials or the Methods of Analysis.

From time to time during the Term of this Agreement, either Party may submit to the other Party a written proposal requesting changes to the Process, Product Specifications, or Project Plan, but no change to the Process, Product Specifications or Project Plan shall be made except by an agreement in writing signed by the authorized representatives of the Parties (“Change Order”). Voluntary Changes. 10.1.1 Paratek may propose any change to the Manufacturing process, the Manufacturing equipment, the Specifications, the Materials, the sources of Materials or the Methods of Analysis by delivering a written notice to CIPAN of such proposed change. Within ten (10) Business Days of receiving such notice, CIPAN shall inform Paratek of any and all reasonable costs associated with implementing such change and if Paratek agrees to reimburse CIPAN for such costs, CIPAN shall implement such change as promptly as practicable in consultation in Paratek; provided, however, that, if CIPAN notifies Paratek that it has determined in good faith that such change is not in compliance with applicable laws or regulations (including cGMP), the Parties shall submit such dispute to a Third Party expert for resolution.
10.1.2 CIPAN shall not make any changes to the Manufacturing process, the Manufacturing equipment, the Specifications, the Materials, the sources of Materials or the Methods of Analysis without the prior written consent of Paratek.

In the event that any changes proposed by WYETH result in a decrease in the cost of production of Product by ▇▇▇▇▇▇▇▇▇, ▇▇▇▇▇▇▇▇▇ shall adjust its charges to WYETH accordingly and WYETH shall pay the decreased price. All changes proposed by ▇▇▇▇▇▇▇▇▇ shall be paid for by ▇▇▇▇▇▇▇▇▇.

Within thirty (30) Business Days of receiving such notice (or such longer time as agreed between the Parties), Almac shall inform Paratek of any and all reasonable costs associated with implementing such change and if Paratek agrees to reimburse Almac for such costs, Almac shall implement such change as promptly as practicable in consultation in Paratek.
10.1.2 Almac shall not make any changes to the Manufacturing process, the packaging of the Product, the Specifications, the Materials, the sources of Materials or the Methods of Analysis except in accordance with the provisions of the Quality Agreement.
Voluntary Changes. Either MiniFAB or TearLab may suggest changes in the Specifications by notifying the other in writing in reasonable detail of such suggested changes. MiniFAB and TearLab must negotiate in good faith with a view to agreeing to the suggested changes and who will bear the cost of the same. If they agree in writing upon the suggested changes, including the lead-time for implementing such changes, the relevant Specifications must be amended accordingly, and any such change will become effective and binding on the Provider from a date agreed by them.
