VOIDABLE ASSIGNMENT Sample Clauses

A Voidable Assignment clause establishes that any transfer of rights or obligations under the contract by one party may be declared invalid or unenforceable if it does not meet certain conditions or receive required approvals. In practice, this means that if a party attempts to assign its interests without following the agreed-upon procedures—such as obtaining written consent from the other party—the assignment can be set aside or nullified at the discretion of the non-assigning party. The core function of this clause is to protect parties from unauthorized or undesirable transfers, ensuring that control over contractual relationships remains with the original parties unless proper protocols are followed.
