Virtusa Response Sample Clauses

Virtusa Response. Virtusa will evaluate each Request within ten (10) business days following Virtusa’s receipt of the Request. If Virtusa determines in its best business judgment that it cannot accept the Request, Virtusa will provide a written response to Metavante within ten (10) business days of such determination. If Metavante’s Request is acceptable, Virtusa will provide Metavante a written proposal (“Proposal”) in the form of either an addendum to the related Work Order and/or a new Work Order, as appropriate. The Proposal will include, but not be limited to, a statement of the availability of Virtusa’s personnel and resources and the cost and schedule impact, if any. If Metavante elects to authorize Virtusa’s Proposal, Metavante will, as soon as possible, PORTIONS OF THIS EXHIBIT WERE OMITTED AND HAVE BEEN FILED SEPARATELY WITH THE SECRETARY OF THE COMMISSION PURSUANT TO AN APPLICATION FOR CONFIDENTIAL TREATMENT UNDER RULE 24B-2 OF THE SECURITIES EXCHANGE ACT; [***] DENOTES OMISSIONS. but not later than ten (10) business days after receipt of the Proposal, return a duly signed copy of the Proposal to Virtusa.
