Common use of Vicarious Liability Clause in Contracts

Vicarious Liability. 9.1 If the Supplier, in the performance of the Agreement, intends to use the services of third parties, it is authorized to do so after receiving written permission from Ausnutria, which consent shall not be unreasonably withheld. 9.2 The Supplier is responsible and warrants vis-à-vis Ausnutria that it will strictly fulfil the obligations imposed on the Supplier resulting from national insurance contributions and tax legislation. 9.3 The Supplier shall indemnify and hold harmless Ausnutria immediately on request for all Damage that Ausnutria may sustain as a consequence of the demand from the Tax Authorities in respect of third parties engaged by the Supplier.
