Vesta Acknowledgment. Vesta acknowledges and confirms that upon completion of the Qualifying Transaction on the terms and conditions contained in this Agreement, the right of first refusal referred to in paragraph 7 of the engagement letter dated September 28, 2009 among UHC, Vesta and ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ Limited (or as may be superseded by any further written agreement between the parties to engagement letter) shall be a binding obligation of Vesta.
