Common use of Ventures Clause in Contracts

Ventures. If, during the Term of this Agreement, Executive is engaged in or associated with the planning or implementing of any project, program, or venture involving the Company and a third party or parties, all rights in the project, program, or venture shall belong to the Company and shall constitute a corporate opportunity belonging exclusively to the Company. Except as approved in writing by the Board, Executive shall not be entitled to any interest in such project, program, or venture or to any commission, finder’s fee, or other compensation in connection therewith other than the Base Salary to be paid to Executive as provided in this Agreement.

Ventures. Except as expressly approved in writing by the BoardCompany, Executive shall not be entitled to any interest in such project, program, program or venture or to any commission, finder’s fee, fee or other compensation in connection therewith therewith, other than the Base Salary compensation to be paid to Executive as provided in this Agreement.

If, during the Term term of this Agreement, the Executive develops or is engaged in or associated with the planning or implementing of any project, program, program or venture involving the Company or its resources and a third party or parties, all rights in the project, program, program or venture shall belong to the Company and shall constitute a corporate opportunity belonging exclusively to the Company. Except as approved in writing by the BoardPortec CEO, the Executive shall not be entitled to any interest in such project, program, program or venture or to any commission, finder’s fee, 's fee or other compensation in connection therewith other than the Base Salary to be paid to the Executive as provided in this Agreement.

If, during the Term term of this Agreement, Executive is engaged in or associated with the planning or implementing of any project, program, program or venture involving the Company or its affiliates and a third party or parties, all rights in the project, program, program or venture shall will belong to the Company or the applicable affiliate and shall will constitute a corporate opportunity belonging exclusively to the CompanyCompany or the applicable affiliate. Except as approved in writing by the BoardChief Executive Officer of the Company, Executive shall not be entitled to any interest in such project, program, program or venture or to any commission, finder’s fee, 's fee or other compensation in connection therewith other than the Base Salary compensation to be paid to by Executive as provided in this Agreement.
