Vendor’s Specific Warranties, Terms, and License Agreements. Because TIPS serves public entities and non-profits throughout the nation all of which are subject to specific laws and policies of their jurisdiction, as a matter of standard practice, TIPS does not typically accept a Vendor’s specific “Sale Terms” (warranties, license agreements, master agreements, terms and conditions, etc.) on behalf of all TIPS Members Vendor will attach the current version of those to this Agreement to display to interested customers what terms would propose apply to their Supplemental Agreement with Vendor (if submitted by Vendor for that purpose). Subject to the specific transactional terms and conditions set forth herein which will be binding on TIPS Members and Vendor with respect to any transaction between them (unless otherwise agreed to under a signed Supplemental Agreement), each Member and Vendor remain free to negotiate any additional or supplemental terms as they may wish to negotiate respecting such transaction pursuant to a Supplemental Agreement. Only those additional or different terms set forth under a duly executed Supplemental Agreement shall be binding upon the TIPS Member and Vendor. Supplemental Agreement. In the event of a conflict between a Supplemental Agreement and the terms and conditions hereof, the terms and conditions of the Supplemental Agreement shall govern and control with respect to Vendor’s and Member’s specific transaction(s).
