Vendor’s Representation. Vendor warrants that qualified personnel will provide services in a professional manner. “Professional manner” means that the personnel performing the services will possess the skill and competence consistent with the prevailing business standards in the information technology industry. Vendor agrees that it will not enter any agreement with a third party that might abridge any rights of the State under this Contract. Vendor will serve as the prime Vendor under this Contract. Should the State approve any subcontractor(s), the Vendor shall be legally responsible for the performance and payment of the subcontractor(s). Names of any third party Vendors or subcontractors of Vendor may appear for purposes of convenience in Contract documents; and shall not limit Vendor’s obligations hereunder. Third party subcontractors, if approved, may serve as subcontractors to Vendor. Vendor will retain executive representation for functional and technical expertise as needed in order to incorporate any work by third party subcontractor(s).
Vendor’s Representation. The Vendor hereby represents and warrants to the Purchaser, as representations and warranties made as of the date hereof and as of the Closing Date, unless otherwise specified and notwithstanding any investigations or inspections made by the Purchaser, that:
Vendor’s Representation a) The Vendor it is a company or business validly existing under the law of Malaysia; b) The Vendor has obtained relevant license to perform the Supplies as stipulated in the PO; c) The Vendor has the power to enter into and perform its obligation under this Contract and to carry out the Supplies as stipulated in the Contract; d) No litigation, arbitration, tax claim, dispute or administrative proceeding is presently current or pending or to the Vendor’s knowledge, threatened, which is likely to have a material adverse effect upon it in the provisions or performance of the Supplies and other obligations under this Contract; e) The Vendor has necessary financial and technical capability to provide the Supplies; f) The Vendor shall make available all resources and technology and knowhow as may be necessary for the performance of the Supplies under this Contract; and g) The Vendor shall at all times observe and conform to all the rules, guidelines and procedures issued by the Employer which are currently in force or may be made from time to time for the operation, management, maintenance, security and protection of the airports and the Vendor shall at all times ensure that its employees/▇▇▇▇▇▇▇ do observe and conform to all such rules, guidelines and procedures.
