Variable Pay Plans Sample Clauses

Variable Pay Plans. On the Closing Date or as soon as practicable thereafter, Purchaser or its affiliates shall pay to each Affected Employee who was a participant in one or more of the variable pay plans listed in Section 7.5 of the Seller Disclosure Schedule (each, a "Variable Pay Plan") an amount determined in accordance with the existing formulas and related terms and conditions specified in the applicable Variable Pay Plans (collectively, "Variable Plan Payments").
