Valuation on Distribution Date Clause Samples
The 'Valuation on Distribution Date' clause establishes how the value of assets or interests will be determined at the time they are distributed, such as during a liquidation, dissolution, or payout event. Typically, this clause specifies the method or standard for appraising assets—such as using fair market value, an independent appraiser, or a predetermined formula—on the exact date of distribution. By clearly defining the valuation process, this clause ensures that all parties receive their fair share based on an objective assessment, thereby reducing disputes and providing transparency in the distribution process.
