Common use of Validity; Physician Capacity Clause in Contracts

Validity; Physician Capacity. This Agreement, the Physician Employment Agreement, and each other agreement contemplated hereby or thereby have been, or will be as of the Closing Date, duly executed and delivered by the Physician and constitute or will constitute legal, valid and binding obligations of the Physician, enforceable against the Physician in accordance with their respective terms, except as may be limited by applicable bankruptcy, insolvency or similar laws affecting creditors' rights generally or the availability of equitable remedies. The Physician has legal capacity to enter into and perform this Agreement and his Physician Employment Agreement.
